Terms of Service

1. Acceptance of Terms

By accessing or using the BizQuick platform ("Service"), you ("Customer", "Tenant", or "User") agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree to these Terms, do not use the Service.

These Terms apply to all visitors, registered users, and others who access or use the Service.

2. Description of Services

BizQuick is a cloud-based business management platform designed for small and medium enterprises ("SMEs") primarily in Zambia and the broader African market. The Service includes, but is not limited to:

• Invoicing, quotations, and sales management
• Inventory and stock control
• Human Resources (HR) and payroll processing
• Point of Sale (POS) operations
• Micro-lending and loan management
• Accounting and financial reporting
• ZRA Smart Invoice integration

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

To use the Service you must register for an account ("Workspace"). You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and not share it with unauthorized persons
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account

Each Workspace is provisioned as an isolated tenant environment. You may create additional user accounts within your Workspace subject to your plan's user limit.

4. Payment & Billing

Paid plans are billed in Zambian Kwacha (ZMW) on a monthly or annual basis as stated at the time of subscription. Payments are processed through our approved payment gateway (Flutterwave). By providing payment details, you authorize us to charge the applicable fees.

• Non-refundable: All fees are non-refundable except where required by Zambian law or at our sole discretion.
• Late payment: Failure to pay within 7 days of the due date may result in suspension of your Workspace.
• Price changes: We will notify you at least 30 days before any price change takes effect.
• Taxes: You are responsible for all applicable taxes including VAT where required.

5. Free Trials

New accounts may be eligible for a free trial period as specified on the pricing page at the time of sign-up. During the trial:

• Full access to features of your selected plan is granted
• No payment is required
• Your data is retained should you choose to subscribe at the end of the trial

Once the trial expires your Workspace will be suspended until a valid subscription is activated. We reserve the right to modify or discontinue trial offers at any time. Plans designated as "Free Forever" are not subject to trial expiry.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation, including Zambian data protection and financial laws
• Process or store fraudulent, misleading, or illegal financial records
• Transmit malware, viruses, or any harmful code
• Attempt to gain unauthorized access to the Service or its infrastructure
• Reverse-engineer, decompile, or disassemble any part of the Service
• Resell or sublicense the Service without written authorization
• Use the Service in a manner that adversely affects performance for other users

Violation of this section may result in immediate account suspension without refund.

7. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Each tenant's data is stored in an isolated database environment. We do not access your business data except for support purposes when explicitly authorized by you or as required by law.

You retain ownership of all data you submit to the Service. Upon termination, you may request a data export within 30 days before your data is permanently deleted.

8. Intellectual Property

The Service, including its design, code, trademarks, and content (excluding your data), is owned by BizQuick and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Service during the term of your subscription.

You may not copy, modify, distribute, or create derivative works of the Service without our express written consent.

9. Termination

Either party may terminate these Terms at any time. You may cancel your subscription from within your Workspace or by contacting support. We may terminate or suspend your account immediately, without prior notice, if:

• You breach any provision of these Terms
• You fail to make a required payment
• We are required to do so by law or a regulatory body

Upon termination all licenses granted herein are immediately revoked. Sections 7, 8, 10, 11, and 12 survive termination.

10. Limitation of Liability

To the maximum extent permitted by applicable law, BizQuick and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service.

Our total cumulative liability to you for any claim arising from or related to these Terms or the Service shall not exceed the total amount you paid to us in the 12 months preceding the claim.

The Service is provided "as is" without warranties of any kind, either express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Indemnification

You agree to indemnify, defend, and hold harmless BizQuick and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) any data you upload to the Service.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Zambia. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Zambia.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13. Changes to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and, where appropriate, by email. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance.
